LA MISIÓN WATER COMPANY – General Assembly Meeting – 2 September 2023

This year’s meeting was again held at the Kirchhoff’s Rancho Exilio, and we thank them for their generosity. The meeting was attended by 47 members present plus 5 proxies for a total of 52 voting members. After the second call for the number of members present, President John Stadelmann declared a quorum and opened the meeting at 11:30 am. Our secretary Dennis Rosenberg was unable to attend our meeting, so President John Stadelmann appointed Sandra Stadelmann, Treasurer, to record the proceedings as acting secretary.

President’s Message

  • After a very rainy winter, water levels in our community well have returned to normal levels.
  • 95% of members stayed within the 5,400 gallon per month limit.
  • Water has been available to members more than 99% of the time.
  • Annual fees will remain at $365 next year, and invoices will be issued on January 1, 2024.
  • Our finances are sound, and we have opportunities for joint projects with LMPOA.

Agenda and Voting

  1. Minutes for 2022 were accepted as read by unanimous vote of 52 members.
  2. Spending up to $15,000 for solar panels to reduce the cost of electricity at our well (our second highest expense) was approved unanimously by 52 members.
  3. The water company’s supply lines are buried under all the roads in our community, so it is in our best interest to assist in road preservation with LMPOA. A proposal to spend matching funds with LMPOA up to a maximum of $10,000 of water company funds was approved unanimously by 52 voting members.
  4. The water company needs to have real time video surveillance monitoring of its five sites, and LMPOA La Loma wants to have a surveillance system like La Playa. It is in the water company’s best interests to invest matching funds with LMPOA to establish a video network up to a maximum of $15,000 of water company funds. The measure was approved unanimously by 52 voting members.
  5. Members agreed to update our constitution to permit general assembly meetings to be held
    Zoom or similar Internet technologies. This measure was approved unanimously by 52 members.

  7. Our constitution will be modified to permit annual meetings to be held no later than April 15 of
    each year, or during the first week of September. This will permit the water company to hold its
    annual meeting on the same day as the community HOA known as LMPOA.
  8. Election of officers: We have staggered the two-year terms for officers to preserve knowledge on
    the Board of Directors.
    • John Stadelmann, President, is up for reelection for a two-year term.
    • Sandra Stadelmann, Treasurer, is up for reelection for a two-year term.
    • Paul Ross, Vice President, has one year left to go, so no vote is required.
    • Dennis Rosenberg, Secretary, has one year left to go, so no vote is required.
    • Nominees were solicited from the floor, but none were submitted.
    • President John Stadelmann and Treasurer Sandy Stadelmann were elected unanimously
      by 52 members present.
  9. The re-ratification of Lili Salcedo as our legal representative was approved unanimously by 52
    voting members.

New Business

Member Camille Marks stated the following: “When CFE power is off, we don’t get water up here
on East Ugarte. Can the water company do something about this?” President John Stadelmann
said the water company will take this as an action item and develop a solution.

Adjournment

After a general question and answer period, the president adjourned the meeting at 12:15 pm.
